Terms of Service — Finance Hero

These Terms of Service ("Terms") form a binding agreement between Finance Hero ("Finance Hero", "we", "our") and the individual or organization that creates an account ("you", "Customer"). By creating an account or using the Finance Hero service (the "Service"), you agree to these Terms.

1. Eligibility and account

You must be at least 18 and able to enter a binding contract. You are responsible for activity under your account and for keeping your credentials secure. Notify us promptly of any unauthorized use.

2. The Service

Finance Hero lets automotive Finance & Insurance professionals send follow-up offers to their customers, track engagement, and manage subscriptions. Features may change, and we may add, modify, or remove functionality at any time.

3. Subscription, trial, billing, and auto-renewal

Plans are billed at $95/month or $600/year, plus applicable taxes.
New paid plans include a 14-day free trial. A valid payment method is required to start the trial; you will not be charged until the trial ends.
Subscriptions automatically renew at the end of each billing period at the then-current rate until cancelled.
You can cancel at any time from Account Settings. Cancellation takes effect at the end of the current billing period; the Service remains available until then.
Fees already paid are non-refundable except where required by law.

This section is intended to satisfy state automatic-renewal disclosure laws (including California BPC §17600 et seq., New York GBL §527-a, and similar statutes) and the FTC's negative-option / click-to-cancel guidance.

4. Your data and your customers' data

You retain all rights to data you upload, including your customers' contact information ("Customer Data"). You grant Finance Hero a limited license to process Customer Data solely to provide and improve the Service. You represent that you have all necessary rights and consents to upload Customer Data and to send follow-up communications to those individuals under applicable law (including CAN-SPAM and TCPA). Our processing role is further described in the Data Processing Addendum.

5. Acceptable use

You agree not to:

Upload data you do not have the right to use.
Send unlawful, deceptive, harassing, or unsolicited bulk email.
Attempt to breach security, reverse-engineer, or misuse the Service.
Use the Service to compete with Finance Hero or to build a similar product.

6. Intellectual property

Finance Hero and its licensors own the Service and all related IP. You receive a limited, non-exclusive, non-transferable right to use it for your internal business purposes during your subscription.

7. Third-party services

The Service integrates with third parties (for example, payment processing and email delivery). Your use of those services is subject to their own terms. We are not responsible for third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINANCE HERO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Indemnification

You will defend and indemnify Finance Hero against third-party claims arising from your Customer Data, your emails sent through the Service, or your violation of these Terms.

11. Termination

Either party may terminate for material breach if the breach is not cured within 15 days of notice. On termination, your access ends and Customer Data may be deleted after a reasonable retention period.

12. Governing law and disputes

These Terms are governed by the laws of the State to be designated by Finance Hero in a written notice, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located there, and each party consents to that jurisdiction. Nothing in these Terms prevents either party from seeking injunctive relief in any court of competent jurisdiction.

13. Changes

We may update these Terms. Material changes will be notified via email or in-app. Continued use after the effective date constitutes acceptance.
